飛利浦公司暨台積公司共同宣佈：台積公司已於美國證券交易委員會註冊發行美國存託憑證
荷蘭皇家飛利浦電子公司(Philips)與台灣積體電路製造股份有限公司今(9)日共同宣佈，台積公司已經完成於美國證券交易委員會有關發行美國存託憑證的註冊，此次發行計劃係飛利浦公司以台積公司持股轉換發行為美國存託憑證。
依據飛利浦公司與台積公司於民國九十六年三月九日共同宣佈的協同方案，飛利浦公司將逐步有秩序地釋出對台積公司持股，而發行美國存託憑證計劃為其中多項方案之一。另外，此次發行計劃必須通過相關法令核准，並將視市場狀況執行。
此一美國存託憑證轉換發行計劃預計將台積公司十二億股的普通股股票轉換發行為二億四千萬股的美國存託憑證，以民國九十六年五月七日的市場價格為計價基準，市值約為二十五億美元。目前，飛利浦公司持有台積公司12.8%的股份，共約33億股，市值約為六十七億美元。
